1. ELIGIBILITY: The Reece USA >B< “Don’t Sweat It” Sweepstakes (the “Promotion”) is open only to eligible Reece account owners. Entrants must be legal residents of the fifty (50) United States and the District of Columbia who are 18 years of age or older at time of entry. The applicable eligible Reece account must be in good standing at time of drawing and prize award. Employees of MORSCO, Inc. DBA Reece USA (“Reece”, also referred to herein as “Sponsor”) and any Reece branch locations (including but not limited to Murray Supply, Morrison Supply Company, Wholesale Specialties, Devore & Johnson, Express Pipe, Todd Pipe, and Farnsworth), and each of their respective parents, subsidiaries, advertising/promotion agencies, affiliates, dealers, and members of the immediate families (spouses and parents, siblings, children and their spouses and in-laws) and persons living in the same household of any of the aforementioned individuals are not eligible. Eligibility may be verified by Sponsor at any time. Any determinations of eligibility will be made by the Sponsor whose decisions are final and may be made at any time. The Promotion is subject to all applicable Federal, state, and local laws and regulations and is void where prohibited/restricted by law or organizational policy. The Promotion is a trade promotion and is not open to the general public.

2. PROMOTION DESCPRIPTION: The Promotion begins at 12:00am Central Time (“CT”) on December 12, 2022 and ends at 11:59 pm CT on February 28, 2023 (“Promotion Period”). Entries are automatically earned by making a minimum purchase of $500 (and for each multiple of $500) in Conex >B< products in one transaction through an eligible Reece account at participating Reece branch locations or online at www.Reece.com during the Promotion Period. Entrants are entering on behalf of the named owner of the eligible Reece account used at time of purchase. Reece accounts are free to open for eligible business. Visit a Reece branch location to open one. There will be one Grand Prize drawing to award the Grand Prize. There will be nine (9) First Prize drawings (one per Geographical Region, as described below in Section 5) to award one (1) First Prize per Geographical Region. To enter without purchase, see Section 4 below.

3. AGREEMENT TO OFFICIAL RULES: Participation in the Promotion constitutes entrant’s full and unconditional agreement to and acceptance of: (a) these Official Rules (the “Official Rules”); and (b) the decisions of Sponsor and its designees (including but not limited to such parties’ interpretations of these Official Rules) which are final and binding. Winning a prize is contingent upon meeting all requirements set forth herein. Any entrant may be disqualified at Sponsor’s sole discretion if he/she fails to comply with any of the terms of these Official Rules.

4. HOW TO ENTER: During the Promotion Period, each time a minimum purchase of $500 (and for each multiple of $500) in Conex >B< Press products in one transaction through an eligible Reece account, the Reece account owner will automatically earn one entry into the Promotion. Qualifying purchases may be made at participating Reece branch locations listed below in Exhibit A and online at www.Reece.com. A copy of these Official Rules and Exhibit A can also be viewed online at www.BuyBPress.com. Sponsor reserves the right to add one or more stores to the list of participating Reece branch locations in Exhibit A, at any time.

   To enter without making a purchase, hand print your name, complete mailing address, daytime phone number, email address and eligible Reece account owner’s name and company name on a 3” x 5” piece of paper and mail it to be postmarked by 2/28/23 and received by 3/7/23 to: >B< Press “Don’t Sweat It” Sweepstakes, PO Box 3528, Southbury, CT 06488-3528. No mechanical reproductions permitted. Each entry must be mailed separately in a hand-addressed, properly stamped envelope. Be sure to write your nearest Reece branch location’s name, city and state in the upper left hand corner of the outer envelope. Failure to include this information will result in exclusion from the regional random drawings. Participating Reece branch locations are listed below in Exhibit A.

   Entries are void if late, unreadable, inaccurate, incomplete, mutilated, tampered with, forged, irregular in any way, or otherwise not in compliance with these Official Rules. All submitted information becomes property of Sponsor and will not be returned.

5. DRAWINGS/PRIZES/ODDS OF WINNING: On or about February 15, 2023, the following random drawings will be conducted by Promotion Mechanics, Inc., an independent judging organization:

   Grand Prize Drawing: a random drawing will be conducted from among all combined eligible entries received to award the following prize to the Eligible Reece account owner associated with the winning entry:

   (1) Grand Prize: The opportunity for the winner to travel to Cordoba, Spain, as part of a tour group selected by Sponsor to tour the Conex Factory. Prize consists of round trip coach air transportation from the major commercial airport closest to winner’s residence; 4 days/3 nights’ standard single-occupancy hotel accommodations; an exclusive tour and access to the Conex Factory, a Cordoba Experience to be selected by Sponsor, select meals and any other events or experiences at Sponsor’s sole discretion. Trip must be taken on dates specified by Sponsor, anticipated to be the second week in May 2023 or prize will be forfeited in its entirety.

   Total combined ARV of Grand Prize is $2,500. Actual value will be determined by winner’s residence and seasonal rates. Any difference between the actual value and the stated value will not be awarded. Winner must possess all required, valid identification and travel authorizations in order to travel. Winner is responsible for any travel insurance (if desired), and for all trip expenses not specified, including meals, tips, and entertainment. If winner fails to possess all required, valid identification and/or travel authorizations, the prize will be forfeited in its entirety. In the event the winner engages in behavior that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal, unsafe or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip or other applicable experience early, in whole or in part, and send the winner home with no further compensation.

   Grand Prize Winner must comply with all security requirements and with Sponsor’s instructions. All travel accommodations and events are subject to availability, change, and certain restrictions. Sponsor will determine airline and flight itinerary in its sole discretion. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. All airline tickets are subject to flight variation, pandemic, work stoppages, and schedule or route changes. For the avoidance of doubt, round-trip coach class air travel is limited to one plane seat per traveler. Releasees (as defined in Section 5 below) are not liable for any missed prize events, missed opportunities or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay. Grand Prize winner must provide hotel with a major credit card issued in their name to cover room security and incidental expenses (if any). If winner is unable to accept prize as stated, prize will be forfeited in its entirety and may be awarded to an alternate winner. Certain restriction and blackout dates apply. No prize substitution except by Sponsor in its sole discretion, in which case a prize of equal or greater value will be awarded.

   To help ensure that the use of any such person in advertising or publicity will not bring the Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Promotion, as determined by Sponsor in its sole discretion, potential Grand Prize winner may be required to submit to a confidential criminal background check as a condition of winning and receiving a prize. Such background check may include without limitation, civil and criminal court records and police reports.

   First Prize Drawings: Entries will be sorted into 9 Geographical Regions, as outlined in Exhibit A below. Geographical Regions are determined based on the location of the Reece branch location where a qualifying purchase was made, by the participating Reece branch location associated with the Reece account making the purchase online, or the location of the Reece branch listed on the outside of a mail-in entry envelope, as instructed above in Section 4. Mail-in entries that do not include a Reece branch and location on the outside of the envelope will not be eligible for inclusion in the First Prize drawings. A random drawing will be conducted from among all eligible entries received from each Geographical Region to award the following prize:

   (1) First Prize per Geographical Region (a total of 9 First Prizes will be awarded): $100 to be awarded via a prepaid debit card. Prepaid debit cards are subject to terms and conditions printed or referenced thereon.

   Odds of winning the Grand Prize will be determined by the number of eligible entries received overall. Odds of winning a First Prize will be determined by the number of eligible entries received for each Geographical Region.

6. GENERAL: The depiction of the prizes in any advertising, promotional materials, or displays may not reflect the actual prizes the winners will have to retrieve. Taxes on each prize and expenses related to acceptance and use of each prize not specified are the sole responsibility of the respective winners. By participating, entrants (and entrant’s parent/legal guardian, if entrant is a minor in his/her jurisdiction of residence) agree (a) to these rules and decisions of judges which shall be final in all respects; (b) to release and hold harmless Sponsor, and Promotion Mechanics, Inc., together with their respective parents, subsidiaries, affiliates and agencies, together with the respective directors, officers, employees, agents and representatives of each (aforementioned individuals and organizations collectively, the “Released Parties”) from any and all claims, demands, costs, expenses, liability, losses or damages of any kind resulting from their participation in the Promotion or their acceptance, use or misuse of a prize awarded, including liability for personal injury or death; (c) if a winner, to the use of name and/or photograph for advertising and publicity purposes without compensation (unless prohibited by law) and to execute specific consent to such use if asked to do so, and to the public announcement of their name, city and state; and (d) that the Released Parties have not made any representation, warranty or guaranty, in whole or in part, in law or in fact, relative to any prize awarded. Grand Prize Winner (and winner’s parent/legal guardian if winner is a minor in his/her jurisdiction of residence) will be required to complete an Affidavit of Eligibility and Liability Release and (where legal) a Publicity Release, and, a W9 Form, which must be returned within the time period specified by Sponsor or an alternate winner may be selected. The value of a prize will be taxable to prize winner as income. Released Parties are not responsible and shall not be liable for: (i) any telephone, electronic, hardware or software program, network, Internet or computer malfunctions, failures, or difficulties of any kind, including without limitation, server malfunction or by any human error which may occur in the processing of entries; (ii) failed, incomplete, garbled or delayed computer transmissions; (iii) late, lost, illegible, postage-due, incomplete, damaged or misdirected entries or mail; and (iv) any condition caused by events that may cause the promotion to be disrupted or corrupted. Sponsor reserves the right in its sole discretion to cancel or suspend the Promotion or any portion thereof should any causes corrupt the administration, security or proper play of the promotion; in which case, prizes will be awarded via a random drawing from among all eligible entries legitimately received prior to cancellation. In case of dispute, entries will be declared made by the Eligible Reece account owner associated with the entry in question. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. In no event will Released Parties be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages arising out of any Entrant’s access to and use of the internet sites www.BuyBPress.com or www.Reece.com, or other sites promoting the Promotion or the downloading from and/or printing material downloaded from said sites. Without limiting the foregoing, everything on these sites is provided “as is” without warranty of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement. Entries become the property of Sponsor. The Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. When terms such as “may” are used in the Official Rules, Sponsor has sole and absolute discretion. Participants agree to waive any rights to claim ambiguity of these Official Rules. Limit one (1) First Prize per person. Prizes are non-transferable and no substitution or cash redemption will be permitted unless Sponsor, in its sole discretion, determines otherwise. Sponsor reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value, at its sole discretion. Any participant may be disqualified in the Sponsor’s sole discretion if: (1) he/she fails to reply or to provide any required information or properly completed documents within the required time period (as applicable); (b) he/she fails to comply with any of the terms of these Official Rules; (c) if any prize notification is returned as undeliverable; or (d) if the results of his/her background check are deemed unsatisfactory in Sponsor’s sole discretion. In the event of disqualification, in Sponsor’s sole discretion, the prize may be awarded to an alternate winner selected from among the remaining applicable eligible entries via the means of winner determination described herein, pending verification of eligibility.

   COLLECTION AND USE OF PERSONAL INFORMATION: As a condition of entering the Promotion, participants agree and consent to Sponsor’s collection, use and retention of their personal and other information for all purposes related to the Promotion (including, without limitation, processing and administering entries or prize claims, sharing participant’s personal information with third parties, including Sponsor’s service providers, contractors, prizing partners, etc. as necessary to conduct and operate the Promotion, communicating with and awarding prizes to winners, making public announcements about winners, and advertising, promotion and publicizing the Promotion), and to comply with applicable laws, rules and regulations, including the storing of your information for purposes of complying with state record retention requirements. Information collected from entrants will be subject to Sponsor’s Privacy Policy, published at Reece.com. If you object to anything stated in these Official rules or Sponsor’s Privacy Policy, do not participate in the Promotion.

7. SEVERABILITY/HEADINGS: If any provision of these Official Rules is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Official Rules and shall not affect the validity and enforceability of any remaining provisions. Headings and captions are used in these Official Rules solely for convenience of reference, and shall not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision hereof.

8. ARBITRATION/CHOICE OF LAW: Except where prohibited, by participating in the Promotion, entrants agree that (a) any and all disputes, claims, and causes of action arising out of or connected with this Promotion, or any prize awarded, or the determination of the winners, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of the American Arbitration Association, then effective, in Dallas County, Texas, (b) any and all claims, judgements and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this promotion but in no event attorneys’ fees; and (c) under no circumstances will entrant will be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages (other than for actual out-of-pocket expenses), and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and/or Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard for conflicts of law doctrine, and all proceedings shall take place in Dallas County, Texas.
